Terms and Conditions for RefundCat

These Terms of Service ("Terms") govern your access to and use of RefundCat's website at https://refundcat.com and related services (collectively, the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Definitions

  • "RefundCat", "we", "us", or "our" means Answer42 LLC, registered address: 30 N Gould St, Sheridan, WY 82801, USA.
  • "Customer", "you", or "your" means the person or entity using the Service.
  • "Account" means your registered account used to access the Service.
  • "Plan" means a subscription plan, package, or tier (including any free trial) offered by RefundCat.
  • "Order" means the online checkout, order form, or Stripe session referencing a Plan.

2. Eligibility and Account

  • You must be legally capable of entering into binding contracts and, if using on behalf of an entity, you represent that you have authority to bind that entity.
  • You are responsible for safeguarding your Account credentials and for all usage under your Account.

3. Service Scope and Third‑Party Platforms

  • The Service is a SaaS platform to help you receive, assess, and manage App Store refund requests for your own apps. We do not guarantee the outcome of any refund decision made by Apple or any other platform, and we do not control their policies or processes.
  • Use of third‑party services (e.g., Apple App Store, Stripe) is subject to their terms. You are responsible for maintaining your accounts and authorizations with third parties. We are not responsible for third‑party actions, changes, or outages.

4. Free Trial

  • We may offer a 7‑day free trial for new subscriptions. Unless otherwise stated, the trial automatically converts to a paid subscription at the end of the trial unless you cancel before the trial ends.
  • We may require a valid payment method to start a trial and may limit eligibility for, or duration of, any trial at our discretion.

5. Subscriptions, Billing, and Auto‑Renewal

  • Subscriptions renew automatically at the end of each billing term (e.g., monthly or annually) unless canceled. By subscribing, you authorize RefundCat to charge your payment method via Stripe for recurring fees and applicable taxes in accordance with your Plan.
  • We may change prices or features for future billing periods by providing notice (e.g., email or in‑product notice). New prices take effect at the next renewal unless you cancel before it.

6. Taxes and Currency

Prices for the Service exclude value‑added tax (VAT), sales tax, GST, or other similar taxes and fees. Where required, taxes will be calculated and collected at checkout by Stripe. You can enter a VAT or tax identification number during Stripe checkout and Stripe will automatically assess and apply taxes based on applicable rules.

7. Usage Limits, Upgrades, Downgrades, and Proration

  • Each Plan may include usage thresholds (for example, a monthly cap on the total value of refund requests handled under certain tiers, and "Unlimited" usage for Enterprise). If you exceed your Plan's limits, we may require an upgrade, restrict features, or— where specified on the pricing page or in your Order—apply overage fees.
  • Upgrades take effect immediately and may be prorated by Stripe; downgrades take effect at the next renewal. No refunds or credits are provided for partial billing periods unless expressly stated.

8. Cancellations and Refunds

  • You can cancel at any time via your Stripe customer portal; cancellation takes effect at the end of your current billing term. Cancellation does not entitle you to a refund for the current term.
  • Our Refund Policy applies and is incorporated by reference. In particular, once you connect your app to RefundCat or RefundCat processes a refund request on your behalf, you are deemed to have started using the Service and we do not provide refunds for that billing term. You may still cancel to avoid charges for future terms.

9. Acceptable Use

You agree not to:

  • Use the Service for unlawful purposes, to violate others' rights, or to circumvent platform policies (including Apple's refund policies).
  • Interfere with or disrupt the Service, attempt to access accounts or data without authorization, or reverse engineer the Service.
  • Resell, sublicense, or provide the Service to third parties except as expressly permitted by these Terms.

10. Intellectual Property and License

  • We and our licensors retain all rights, title, and interest in and to the Service and its components. Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non‑exclusive, non‑transferable, revocable license to access and use the Service for your internal business purposes during your active subscription.
  • Feedback you provide may be used by us without restriction.

11. Privacy and Data Processing

  • We collect and process personal data (e.g., name, email, payment details) as described in our Privacy Policy.
  • If applicable, our Data Processing Agreement is incorporated by reference.
  • You represent that you have all rights and consents necessary to provide data to the Service and to instruct us to process that data on your behalf.

12. Confidentiality

Each party may disclose non‑public information to the other. The receiving party will protect such information using reasonable measures and use it only as necessary to perform under these Terms.

13. Publicity

We will not publicly use your name, trademarks, or logos without your prior written consent.

14. Support

We provide support via email at support@refundcat.com. We aim to respond within two (2) business days and typically sooner. Support hours and response targets are not guarantees.

15. Disclaimers

  • THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR‑FREE.
  • We do not control refund outcomes made by Apple or any platform. Any recommendations or automations are provided as‑is and do not guarantee results.

16. Limitation of Liability

  • TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL RefundCat BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY.
  • OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNTS ACTUALLY PAID BY YOU TO RefundCat FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

17. Indemnification

You will defend, indemnify, and hold harmless RefundCat and its affiliates from and against any claims, damages, liabilities, costs, and expenses arising from your use of the Service, your data, or your violation of these Terms.

18. Suspension and Termination

We may suspend or terminate the Service (in whole or part) if you breach these Terms, fail to pay fees, create security risks, or if required by law. Upon termination, your right to use the Service ceases. Sections that by their nature should survive will survive termination (including Sections 10–11 and 15–21).

19. Changes to the Service and Terms

We may update or modify features from time to time. We may update these Terms by posting an updated version and notifying you for material changes (e.g., via email). Your continued use after the effective date constitutes acceptance of the updated Terms.

20. Governing Law and Venue

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict‑of‑law principles. The state and federal courts located in Wyoming shall have exclusive jurisdiction and venue over disputes arising out of or relating to these Terms, and the parties consent to such jurisdiction and venue.

21. Notices

Notices to you may be provided via email to the address associated with your Account or through the Service. Notices to RefundCat should be sent to support@refundcat.com. If you require a physical address for notices, use: Answer42 LLC, 30 N Gould St, Sheridan, WY 82801, USA.

22. Miscellaneous

  • These Terms (together with your Order, the Privacy Policy, the DPA, and the Refund Policy) constitute the entire agreement and supersede prior agreements regarding the Service.
  • You may not assign these Terms without our prior written consent. We may assign to an affiliate or in connection with a merger, acquisition, or sale of assets.
  • If any provision is found unenforceable, the remaining provisions will remain in full force and effect.
